Lead Counsel, R&D Business Development

POSITION OBJECTIVE

  • Serve as the Lead attorney and/or oversee legal professionals supporting Takeda s center of external innovation and business development transactions, and other transactions supporting company s global research and development functions, including medical affairs and manufacturing; partner with and advise senior corporate executives globally on complex legal transactions, including company acquisitions and divestitures; advise legal colleagues and corporate senior executives globally on emerging and existing US laws related to pharmaceutical business transactions
  • Serve as a senior legal advisor to Takeda s global development product team for assigned Takeda pipeline products, including late stage and/or commercial products; serve as a resource to proactively identify and connect the team to specialized legal resources as needed
  • Serve as lead business lawyer to provide legal (non-IP) support for assigned Takeda pipeline products
  • Lead assigned cross-functional legal initiatives

ACCOUNTABILITIES :

  • Proactively provide legal and strategic guidance to senior leaders of assigned global product teams and other senior level leaders in the organization.
  • Lead all legal aspects of assigned transactions, collaborating with other legal colleagues, compliance and procurement and as applicable,, including due diligence, risk assessment, counseling, and drafting and negotiating complex and varied legal documents
  • Identify and analyze global legal, business and reputational risks to the company and propose appropriate solutions
  • Serve as senior legal advisor on assigned discovery and development projects coordinating with other global colleagues as needed
  • Proactively coordinate with legal colleagues globally to contribute to and to stay abreast of global pharmaceutical laws and regulations, in particular, with respect to corporate business development transactions, product research and development, use of digital devices and related business development transactions
  • Develop a thorough understanding of and familiarity with the company s business, code of responsibility, its people, products, markets, facilities, customers and competitors and utilizes that knowledge in providing guidance and counsel to internal clients.
  • Establish a rapport and a working relationship with global research and development organization and center of external innovation personnel at all levels to encourage and continue the proactive use of in-house legal counsel
  • Identify process improvement needs and training needs within the organization and in collaboration with R&D legal operations, assist in the development of process improvement initiatives and the development and presentation of training materials on relevant laws and legal/business issues
  • Identify and assign, as well as perform special assignments or projects, with supervision, as assigned by senior attorneys
  • Contribute to cultivating a company culture that reflects a strong commitment to ethics, patients, employee engagement, diversity and inclusion;
  • Additional duties as assigned
  • May have responsibility for coaching or supervising more junior attorneys, paralegals and support staff on individual projects

DIMENSIONS AND ASPECTS

Technical/Functional (Line) Expertise

  • Strong experience and working knowledge of research and development of innovative pharmaceutical products;
  • Strong pharmaceutical or biotechnology complex deal experience in the areas of platform based transactions, development product alliances, M&A, in-licenses, options, financing and equity investments, etc. for a variety of therapeutic areas
  • Strong experience and skills in working in drafting and negotiating complex contracts
  • Solid understanding of the laws and regulations of drug development and commercialization

Leadership

  • Serve as a senior legal member of global product teams or senior legal advisor to therapeutic area or discovery leadership teams contributing business and legal expertise/guidance to product development and strategy
  • Maintain an enterprise view in developing and delivering legal guidance to client base
  • Lead educational sessions for legal group and company
  • Select and manage external counsel and associated spend

Decision-making and Autonomy

  • Ability to advise on risk based decisions involving significant risk to company reputation and financial risk and to act with a high degree of autonomy and to act globally
  • Manage outside counsel as needed

Interaction

  • Collaborate with legal and non legal colleagues that contribute to the company s drug discovery and development efforts
  • Collaborate on cross-functional deal teams to drive the company s objectives in a compliant and appropriate manner

Innovation

  • Have an interest in exploring new business/legal structures to achieve business development objectives
  • Explore piloting new approaches to improve legal services in a risk appropriate way

Complexity

  • Highly experienced and skilled in drafting, negotiating complex legal documents in the pharmaceutical industry
  • Experience in navigating successfully in a highly matrixed global work environment

EDUCATION, BEHAVIOURAL COMPETENCIES AND SKILLS:

  • A minimum of 12 years of experience strongly preferred in one or more of the following: law firm or corporate law department; government agency; contract administration; risk management; other relevant legal experience
  • Excellent oral and written skills
  • Self-motivated, strong leadership, work well independently on projects, meet aggressive deadlines, handle multiple projects, technical knowledge, business acumen, and excellent communication skills;
  • Sound conflict resolution skills and ability to work in a collaborative, global environment
  • Effective decision making; proven ability to assess and calibrate and effectively communicate legal risks to senior management and others.

  • Active membership and in good standing in a state bar

Travel Requirement

  • 20% travel may be required
